Certificate and Limitations on Centrix: Centrix is a digital transact platform (app) which grant access to an individual for personal use where the liability and account holding transact responsibility rests with its user. This is a non-exclusive and non-transferable, access to be depicted transaction platform, which could be denied at our deactivation. You should not try to do or in any means way through spamming, hacking, uploading computer viruses, technology disadvantages to its users, copy, inverse system capabilities, copy, disassemble, decompile, develop system generate source code, modify, reproduce, display in public, perform through public, transfer, sell, license, republish, edit, transmit, distribute, exploit or encourage any person(s) to assist or do so any foregoing in whole or in part. Any relationship or transaction violation on said connected bank account will not liable by the Centrix and sole responsibility liaise with the Centrix user account holder.

In digital transaction related risks and stipulated regulations by the governing authorities, which understand and agree by you and it, acknowledge the inherent who Centrix will not liable by any mean of a fraudulent activity or damage or lost incur due to an unauthorized usage of your account. Further Centrix shall not be liable or responsible for any termination, suspension or any damages caused whatsoever due to user's actual late payments and/or late payments or non-processing of payments due to internet connection failure or any other malfunctions in Centrix system.

Safety of User Information: Centrix impose all the regulatory directions and terms that relate to the digital payments and its transaction for the purpose of relevant compliant and risk. Based on the same transaction limitation and daily usage will get restricted accordingly. User of Centrix liable to secure its user name and password and further relate any security information with devices from accessing by any third party or unauthorized personnel. Additionally, user may able to use and set-up extended security features in Centrix such like fingerprint, Pins and other available option. Centrix always believe and honour its transaction instructions considering the authentication performed by the user level. If user has misplaced the device or revealed its user name and password to any third party should get

 

deactivate the account with immediate effect. Any unauthorized transaction performed via Centrix will not be liable by the Central Finance Company PLC (Centrix) due to a breach of the agreement by the user or divulged the personal security data to a third party. Any such transaction total liability of loss and damage will be an user responsibility.

The Customer hereby agrees to accept full responsibility for all transactions processed from the use of the Centrix application using the Customer Centrix account, even if the Customer did not authorize the instructions and to accept Centrix ’s record of transactions as conclusive and binding for all purposes.

Centrix user requires complying with Anti-Money Laundering, Anti-Terrorist Financing and other similar acts or legislations mandated by the Government of Sri Lanka. Any failure on the said regulations or terms complying will get your account deactivate with immediate effect.

Amenities of Centrix: Centrix connects with direct and in-direct sources to allow its user to make digital transactions via the platform (app). It is a secure by the latest updated technology version and time-to-time enhancement will be taken place according to the norms of perform a digital transaction in a secured way. It is allowing users to add accounts and cards to the platform, which are legitimately, owns by the user.

Centrix regulated by Central bank of Sri Lanka and its governing rules and conditions. Further financial transactions relate terms and rules regulated by any governing body in Sri Lanka or global networks that are comply by the Centrix. As a Centrix user, you hereby agreed to comply with said regulations and terms according to use the Centrix digital transactions. Always the user will be liable and accountable for all the transactions perform through its user account and Centrix will not hold any liability of misuse of the device, user account and perform any unauthorized or unlawful transactions. Any fraudulent, unlawful transaction perform through your user account will be held liable for any legal action as per the law and regulations defined in Sri Lanka.

Any transaction relate dispute will be process according to the Central Finance Company PLC dispute resolution process and stipulated service level standards (SLA) or any other bank/financial institute relate account disputes will be liaise according to the said forth rules set by the respective organization.

All the system interruptions, maintenance will notified according to your requested method where Centrix will always tries to communicate in prior if not an unscheduled interruption in technology. In said time, Centrix usage might be restrict or completely dysfunctional till the maintenance activity is completed. You hereby agree that Centrix decision considered as final.

Fees and Charges: Centrix is a platform (app) connects with various service providers that allow its users to make seamless transaction processing and experience in digital space. Some of the transactions will consider with fees, charges, taxes and other service relate additional cost, which has to bear by the Centrix user. These charges will be debited at the initiation of the transaction and user responsible to keep requires funds to get process the transaction without any interruption. Any Centrix user requires connecting with proper internet facility to make transaction via Centrix, it is a responsibility of the user, and Centrix will not hold any liability or responsibility against the same. All the define charges and fees may be vary and revised according to the market applicable rate and well as per the subjected service providers stipulations.

Privacy: Centrix entitled to make any disclosure required by regulations set forth by the Central Bank of Sri Lanka and the legislature of the Democratic Socialist Republic of Sri Lanka, without prior or post notification to the Customer. Collection of non-personal data about the user extends to make better experience while performing transactions through Centrix. All data, includes transactional data, location data, contact list, the type of devices and technical information such as the operating system,

 

the Internet service providers utilized and other similar information to make secure at the Centrix server level and responding to complaints. These data further use to security and improvement purposes of Centrix.

All Centrix user data will be stored with adequate security measure and controls to protect such data from unauthorized access, alternation or destruction. Further Centrix, permitted to make any disclosure required by regulations set forth by Central bank of Sri Lanka and the authorized institutes of the Democratic Socialist Republic of Sri Lanka, without prior notification to the customer

Disclaimer: Disclaimer of Warranties. To the extent permitted by law, Centrix is provided "as is", "where is" and "as available" and without warranties of any kind. To the extent permitted by law, Centrix and its licensors make no representations, warranties, or guarantees of any kind or nature, whether express or implied, relating to Centrix, and specifically disclaims all such warranties including, without limitation, any implied warranty of merchantability, fitness for a particular purpose and non- infringement. without limiting the previous disclaimer, To the extent permitted by law, Centrix and its licensors do not represent, warrant or guarantee that the Centrix application will (i) operate in an uninterrupted, timely, secure or error-free manner, (ii) always be available or free from all harmful components or errors or (iii) be secure against or immune from (including the content delivered to you or the information you provided) any unauthorized access, (iv) meet any and/or all implicit and explicit requirements of the customers in relation to the use of the Centrix platform.

Disclaimer of Certain Damages. In no event shall Centrix or its licensors be liable to you for any indirect, incidental, consequential, special, exemplary, punitive damages or lost profits, even Centrix has been advised of the possibility of such damages. This means that you are hereby waive any right to any indirect, incidental, consequential, special, exemplary, punitive damages or lost profits from Centrix and its licensors. This limitation and waiver also applies to any to any claims you may bring against any other party to the extent that Centrix would be required to indemnify that this limitation and waiver also applies to any claims you may bring against any other party to the extent that Centrix would be required to indemnify that party for such claim. You are solely responsible for any damage or loss if you allow anyone to use or handle your device or Centrix application.

Indemnification: All the transaction performed via the platform (app) will be liable by the account- holding user if any penalties or charges impose due to an unauthorized performances of transacts. Any relate matter cannot be hold or responsible by Central Finance Company PLC (Centrix) directors, respective officers, connect employees or service providers by the user due to the negligence or wilful default by the Centrix account-holder. All liabilities, claims, damage, losses, demand, costs, charges and expenses of any kind (including, without limitation, legal fees on full indemnify basis) which may be incurred by any of them and all actions and proceeding which may be brought by or against any of them in connection with the provision of the services, the information and/or the report exercise or prevention of company powers under these terms & conditions unless due to the gross negligence or wilful default of Company.

Other Conditional Terms:

Force Majeure: Shall have no liability for any failure or delay resulting from any condition beyond reasonable control, including but not limited to governmental action or acts of terrorism, shall have no liability for any failure or delay resulting from any condition beyond our reasonable control, including but not limited to governmental action or acts of terrorism, natural disasters or other acts of God and internet disturbances. Modifications: Centrix may change, amend and revise the agreement whenever necessary with or without notifying to you. We will not hold any liability or losses due to the change of conditions and you are requires to accept the change terms according to the policy which need to connect with the platform (app) to process transactions. accepted. Further if you are not willing to accept you may terminate the relationship with immediate effect and close the account from performing further transactions.

Refunds: Central Finance Company PLC (Centrix) is a platform connect with your bank to make relevant transactions as a transaction processing platform which will not be hold liability of any defect of the product or misuse of your transact or funds. Any refunds or reversal as per the stipulated dispute process by each bank and Centrix does not hold liability, loss or damages against it due to any delays or not receive your stipulate refunds from the respective institute. You hereby request to take necessary communication with respective institute to get resolved your matter.

Exclusion of Institute Liabilities: Any losses or damages due to a loss of your devices or password will not hold liable by the Centrix unless otherwise you were notify the same to us prior initiate any fraudulent transaction from your account. I agree that in case of payments made for goods or services offered by third parties, the institute cannot and does not take responsibility or liability on the quality, on time delivery or the availability of such goods or services such offered. I agree that institute will not be responsible for the reliability or performance of any third party provider (including telecom operators and financial institutions whose bank accounts, debit cards and credit cards linked to the Centrix app). I shall accept full responsibility for all transactions processed or effected by the use of previously mentioned Facilities and shall release the institute and its employees from all claims, demands & damages arising out of or in any way connected with dispute(s).

Governing Law: All matters relating to use of the facility shall be governed and construed in accordance with the laws of Democratic Socialist Republic of Sri Lanka. Any legal action or proceedings relating to the Customer's access to, or use of, the facility shall be instituted in a court in Colombo, Sri Lanka. The Customer and Centrix agree to submit to the jurisdiction of, and agree that venue is proper in such legal action or proceeding.

Assignment: You may not transfer or assign this agreement or any right or obligations you have under this agreement. We reserve the right to assign or transfer our rights and obligations without prior notice.
